You should also consider researching the U.S. Securities and Exchange CommissionLinks to an external site. website for relevant information. In April of 2022, Lyle Sinclair told Jessie Jannsen and Pablo Rincor about an investment program that would buy and sell securities that were fully secured. In addition, these would be monitored by the central bank of the United States: The Federal Reserve. Without verifying if the program even existed, Jannsen and Rincor began to assist Sinclair in selling interests in it to investors. The opportunity was represented as a private investment and was not registered with the Securities and Exchange Commission (SEC). The minimum amount required to invest was $2 million and for this there was promised a weekly rate of return from 10% to 100%. In addition to funds, nothing else was required from investors except for their silence – the program was to be kept a secret. Over a 5-month period in 2022, the trio raised nearly $110,000,000 from 32 investors. However, the promised financial gains never occurred as Sinclair, Jannsen and Rincor had the funds sent to an offshore account in the Cayman Islands. There they withdrew most of the money for their personal use. Analyze if the investments in this program are considered securities by using the Howey test. Explain if the investment interest in this situation needed to be registered under the Securities Act of 1933. Discuss if there was a violation of Section 10(b), of the Securities and Exchange Act of 1934? How would the facts of this case apply to Rule 10b-5? Analyze the role investors played in this scheme. Should they be partially responsible for their own losses?

use the information to address the following scenario: Rajah’s RV, Inc., a recreational vehicle (RV) dealer filed an antitrust lawsuit against Big Show, LLC; Springfield Convention Center, Inc; Central Illinois RV Dealers Association (CIRVDA) and several other RV dealers which are competitors in the central Illinois market. Big Show operates two RV shows each year, one in the spring and one in the fall, at the Illinois State Fairgrounds in Springfield, Illinois. The spring event is one of the largest in the United States and attracts over 60,000 consumers each year. The fall show is smaller, but it still has almost 20,000 people attend. Rajah’s has participated in the fall show for the past four years and the spring show for the last three. The company has been highly successful at selling RVs at each of the events because it urges customers to shop with other dealers and then return to Rajah’s for a lower price. After this year’s spring show, several competitors began to complain to Big Show about the methods used by Rajah’s. There were also objections made to the Springfield Convention Center and CIRVDA. As a result of these complaints, Big Show informed Rajah’s that after this fall’s event it would no longer be allowed to participate. Analyze if the decision to exclude Rajah’s from future RV shows would result in a violation of Section 1 of the Sherman Act. What argument would be used to support Rajah’s position? Discuss which standard – the per se or the rule of reason - a court would use to analyze this case. Explain why. Describe any valid legal arguments that the defendants in this case (Big Show, the Springfield Convention Center, CIRVDA, etc.) would have for excluding Rajah’s from the shows. Assume the court rules for Rajah’s. Discuss if this ruling would be fair or if it would be going too far in protecting the RV market in central Illinois?

BUS670: Week 4 Business Ethics TranscriptDownload BUS670: Week 4 Business Ethics Transcript One cannot engage in the study of law without considering the relationship it has with the field of ethics. Since both the law and ethics do focus on doing what is right, there are certainly functions of each that are shared. However, as Supreme Court Justice, Potter Stewart, once stated, “Although ethics and law are closely related, they are not the same. Ethical obligations may – and often do – exceed legal duties.” In the business sector, decisions are often closely scrutinized as to whether they meet ethical standards even if they are legal. For example, if a company decides to lay off 40% of its workforce to increase profit for shareholders it is certainly considered by many to be unethical. But it is not illegal. Nonetheless, business organizations strive to establish an ethical culture and develop guidelines for sound decisions based on ethics and legal standards. In this assignment, you will examine the relationship between the law and business ethics. You will also analyze several ethical theories and determine if using these to make business decisions is practical. In your paper, Compare and contrast the similarities between the law and ethics.
