Description There is one question for this Contract 2. I am looking for the ability to read and comprehend the contract so the appropriate contract clause can be applied to the questions connected with each contract. In order to answer the contract fact scenario, you will also need to be able to identify the legal concept(s) that is applicable to the situation described. This is an analysis so please treat it as such. Your personal opinion is not appropriate. There is a correct answer(s) for the question as several legal concepts apply. If a student discusses a different legal theory for answering the question, partial points will be given. In cases of complete or partial answers, text references are mandatory to support the remedy proposed by the student. A text reference that has no bearing on the remedy or legal arguments will be counted as "no text". For example, if any contract has an issue of risk of loss, referencing the text on contract formation will not meet the requirement. The sections of the text that you have read contain all the information you need for this analysis. Please remember to reference the applicable parts of the contract that you are using to answer each question. Your response should be in IRAC Writing Format. A student will be given 4 points for the text reference, 4 points for the contract reference, with 15 points for the analysis itself, 4 points for proper IRAC formatting. The remaining 3 points will be given as a spelling/grammar score. Following is the prompt. UCC Sales Contract The following question is based on the Sales Contract found in the Contracts Module. Please reference the Sales Contract by clause number as you answer the questions. Remember, this is a contract under the UCC. IRAC Response (properly labeled with at least 2 paragraphs in the application section with textbook and contract references to support your answers) You contend that you received non-conforming goods as a result of an ambiguity in the contract. You ordered goods thinking you would get a particular product. You wanted 6 inch ceramic planter pots. That was the original oral telephonic communication when you first contacted the selling merchant. You both talked about and agreed on ceramic planter pots. Thereafter, in additional phone conversations, you and the seller just used the phrase "pots". The seller prepared a written contract and sent it to the buyer for review and signature. The contract was signed by both parties. The selling merchant then shipped 6 inch plastic planter pots that are in perfect condition but they are not ceramic as they are significantly lighter and warp when willed with soil. The selling merchant believes the goods are conforming. Upon receipt and inspection of the goods, what are all your merchant options under the contract and at law as the buyer? Description Final Paper [WLOs: 1, 2, 3] [CLOs: 1, 2, 3, 4, 5] Prior to beginning work on this assignment, review Chapters 1 through 7 and 11 through 14 of the textbook. For your Final Paper, assume the following scenario: You are the manager of Acme Fireworks, a fireworks retailer who sells fireworks, and produces fireworks displays with ground display fireworks and large aerial display fireworks. The company started in the owner’s garage 2 years ago and now has 15 employees who you manage. The company started as a sole proprietorship, and the owner has never changed the entity. The owner has informed you that the company has received inquiries from several large businesses wondering if the company could create several fireworks displays on a regular basis. The owner told the inquirers that the company could fill such display orders, and a price per display was agreed upon. It was discussed that most of the cost for a fireworks display is for skilled labor, insurance, and the actual service of setting off the fireworks. No other details were discussed. The owner is anticipating that new employees will need to be hired, but he is worried that if the large orders for fireworks displays do not continue, the company will not have the funds to pay the new employees. The owner is now considering changing the business entity, but he does not know what entity to form or how to form it. In your paper, the owner has asked you to do the following: Analyze if the contracts with the businesses will be governed by common law or the Uniform Commercial Code (UCC). Explain why. Analyze whether the owner formed a contract with the businesses. Apply the five essential elements of an enforceable contract. Explain the potential personal liability to Acme Fireworks if a spectator is injured by a stray firework from a fireworks display. Discuss the different employment types and relationships relevant to agency law. Analyze the advantages and disadvantages of each type specific to Acme Fireworks. Explain why Acme Fireworks should not operate as a sole proprietorship. Recommend a new business entity. Provide rationale to support your recommendation. For each task, be sure to analyze the relevant law, apply the facts to the law, and make a conclusion. Please provide answers to the discussion questions that are researched, informed, and substantiated by citing sources following Strayer Writing Standards. Classmate post:Hello everyone. The case I chose to look at this week is Intuit, Incorporated vs Federal Trade Commission. This case is about the FTC taking action against Intuit, also known as Turbo Tax. Turbo Tax deceived customers with false advertising stating “free” tax filing that wasn’t able to be used by millions of consumers. Many consumers didn’t meet the requirements for free tax filing because they were 1099 customers or earn oncome from working on a farm. Many consumers are hit with charges when they file their taxes. Under the terms of the Administrative Law Judge’s order, which can be appealed to the full Commission, Intuit is “prohibited from engaging in deceptive practices in the future (1).” It also is barred from representing that any good or service is free, unless: 1) it is free for all consumers; 2) it clearly and conspicuously discloses any terms that would limit the offer and might be misunderstood by consumers; and 3) if the good or service is not free “to a majority of U.S. taxpayers,” this also must be disclosed in a clear and conspicuous manner (1). The actions were anti-competitive because it made consumers believe they were getting to file their taxes for free, when by circumstances it is not true. This is a horizontal restraint of trade because this action was to lessen the competition with other tax preparing companies, by false advertising the free tax filing. 1.https://www.ftc.gov/legal-library/browse/cases-proceedings/192-3119-intuit-inc-matter-turbotaxLinks to an external site. Description In December 2013, Beyoncé disrupted traditional music industry norms by releasing her self-titled album directly on iTunes without prior promotion, singles, or media involvement, bypassing third-party retailers such as Walmart and Target. How did this bold strategy leverage the principles of disruptive innovation to challenge the established workflows of album marketing and distribution in the music industry? In an era where digital sales were on the rise and live music revenue constituted 60% of the industry's income, what were the risks and potential benefits of such an unorthodox approach? Specifically, how did Beyoncé’s strategy address the shifting consumer behavior from physical to digital consumption, and what implications did this have for traditional record labels and retail partners? Additionally, considering the current dominance of streaming platforms in the music industry, how can artists like Beyoncé optimize their strategies by partnering with subscription-based platforms such as Spotify, Apple Music, and Tidal to maximize reach and revenue? What are the potential advantages and disadvantages of this approach, including the risks of alienating fans who prefer physical or digital album purchases? Finally, how could alternative strategies, such as collaborating with international retailers for pop-up events or offering exclusive collector’s items, complement or substitute the streaming-based approach? What logistical, financial, and audience engagement challenges might arise from these initiatives, and how should they be balanced with the growing reliance on digital streaming in the global music market?
